ASR Innovations provides AI-powered, blockchain-based, and technology-driven products and services, including but not limited to:

1. 1.Divisor School — AI-powered educational platform
2. 2.MeetupX — Professional networking and events platform
3. 3.EntropyAqua — Smart water management solutions
4. 4.Sai Green — Sustainable technology solutions
5. 5.Agentic AI systems and workflow automation tools
6. 6.Blockchain, smart contract, and Web3 development services
7. 7.Custom AI/ML solutions, consulting, and integration

We reserve the right to modify, suspend, or discontinue any service at any time, with reasonable advance notice where practicable. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

4.1 Account Creation

To access certain features, you may be required to create an account. You must provide accurate, complete, and current information during registration, and keep it up to date. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

4.2 Account Responsibilities

• —Accuracy: Keep your account information accurate and current at all times
• —Age: You must be at least 13 years old, or the age of digital consent in your jurisdiction
• —One Account: Each person may maintain only one account unless explicitly permitted in writing

4.3 Account Suspension & Termination

We reserve the right to suspend or permanently terminate accounts that violate these Terms, engage in fraudulent or abusive activity, or remain entirely inactive for an extended period, with or without prior notice.

5.1 Permitted Uses

You may use our services for lawful purposes consistent with these Terms and all applicable local, national, and international laws and regulations.

5.2 Prohibited Activities

The following are strictly prohibited:

1. 1.Using our services for any unlawful purpose or in violation of any applicable regulation
2. 2.Attempting to gain unauthorized access to any part of our services, servers, or databases
3. 3.Interfering with or disrupting the integrity, security, or performance of our services
4. 4.Reverse engineering, decompiling, or disassembling any part of our software or algorithms
5. 5.Scraping, crawling, or bulk-extracting data from our services without written permission
6. 6.Uploading or transmitting viruses, malware, or any other malicious code
7. 7.Using our services to send unsolicited communications (spam) of any kind
8. 8.Impersonating any person or entity, or misrepresenting your affiliation with any person or entity
9. 9.Selling, reselling, or sub-licensing our services without prior written authorization
10. 10.Using our AI tools to generate harmful, illegal, deceptive, or discriminatory content
11. 11.Attempting to manipulate or exploit our blockchain systems or smart contracts

Violation of these restrictions may result in immediate termination of your access and may expose you to legal liability.

6.1 Our Intellectual Property

All content, software, algorithms, AI models, designs, trademarks, service marks, logos, and other materials available through our services are the exclusive property of ASR Innovations Private Limited or our licensors, and are protected by applicable intellectual property laws in India and internationally.

6.2 Limited License to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services solely for their intended purposes. This license does not include any right to sublicense, modify, adapt, copy, distribute, or create derivative works.

6.3 User-Generated Content

By submitting, uploading, or posting content to our services, you grant ASR Innovations a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving our services. You retain full ownership of your content.

6.4 Feedback

Any feedback, ideas, or suggestions you voluntarily provide regarding our services may be used by us freely, without any obligation to compensate you or seek further approval.

• —Pricing: Fees for paid services are listed on our website and may be updated with at least 30 days' notice to existing subscribers
• —Payment Processing: All payments are processed via secure third-party processors (e.g., Razorpay, Stripe). We do not store full payment card details on our servers
• —Taxes: Prices may be shown exclusive of applicable taxes, including GST. You are responsible for all taxes applicable to your use
• —Refunds: Refund eligibility is product-specific and disclosed at the time of purchase. Contact us within the stated refund window
• —Subscription Renewals: Subscriptions auto-renew at the end of each billing cycle unless you cancel before the renewal date
• —Failed Payments: Failure to settle outstanding amounts within a reasonable cure period may result in service suspension or termination

8.1 AI Services

• —Output Accuracy: AI-generated content is provided "as is." It may not always be accurate, complete, or appropriate for your specific situation
• —Human Oversight: You are solely responsible for reviewing, validating, and acting on any AI-generated outputs before use
• —Prohibited AI Use: Our AI services must not be used to generate harmful, deceptive, discriminatory, or unlawful content of any kind
• —Training Data: Anonymized and aggregated usage data may improve our models. Personal data is never used for training without your explicit consent

8.2 Blockchain & Web3 Services

• —Irreversibility: Blockchain transactions cannot be reversed. Always verify all details carefully before confirming any transaction
• —Wallet Security: You are solely responsible for the security of your digital wallets and private keys. We will never request, store, or have access to your private keys
• —Market Risk: Digital assets carry significant market volatility and risk. Nothing in our services constitutes financial, investment, or legal advice
• —Smart Contracts: Smart contracts execute autonomously based on their code. Errors in inputs or logic may result in irreversible financial outcomes

Our services are provided on an "as is" and "as available" basis, without warranties of any kind — express, implied, or statutory — including but not limited to:

1. 1.Implied warranties of merchantability or fitness for a particular purpose
2. 2.Warranties of uninterrupted, timely, secure, or error-free operation
3. 3.Warranties as to the accuracy or reliability of any information obtained through our services
4. 4.Warranties that any defects or errors in the service will be corrected

Some jurisdictions do not allow the exclusion of implied warranties. In such cases, the above exclusions apply to the fullest extent permitted by law.

To the maximum extent permitted by applicable law, ASR Innovations and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any:

1. 1.Indirect, incidental, special, consequential, or punitive damages
2. 2.Loss of profits, revenue, data, business opportunity, goodwill, or other intangible losses
3. 3.Damages resulting from unauthorized access to, alteration of, or loss of your data or transmissions
4. 4.Damages resulting from your use of, or inability to use, our services
5. 5.Financial losses related to blockchain transactions, digital assets, or smart contract execution

In no event shall our total aggregate liability to you for all claims arising under these Terms exceed the greater of (a) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) ₹5,000 INR — whichever is higher.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless ASR Innovations Private Limited and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

1. 1.Your breach or violation of any provision of these Terms
2. 2.Your use of our services in a manner not authorized by these Terms
3. 3.Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
4. 4.Any content you submit, post, share, or transmit through our services
5. 5.Your violation of any applicable local, national, or international law or regulation

We reserve the right to suspend or permanently terminate your access to our services at our sole discretion, with or without notice, for conduct that we reasonably believe violates these Terms, is harmful to other users, third parties, or the integrity of our services.

You may close your account at any time by contacting us at team@asrinnovations.co.in. Upon termination, your license to use our services ceases immediately. Any data associated with your account may be deleted in accordance with our Privacy Policy.

Sections that by their nature survive termination — including Intellectual Property (§6), Disclaimers (§9), Limitation of Liability (§10), Indemnification (§11), and Governing Law (§13) — shall remain in full force and effect.

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Users in the EU/EEA retain the benefit of applicable mandatory consumer protection laws in their home jurisdiction.

13.2 Informal Resolution

Before initiating any formal dispute, you agree to first contact us at legal@asrinnovations.co.in and attempt to resolve the matter informally for at least 30 calendar days.

13.3 Binding Arbitration

If informal resolution fails, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). Proceedings shall be conducted in English, seated in Bengaluru, Karnataka, India. The arbitral award shall be final and binding on both parties.

13.4 Class Action Waiver

To the extent permitted by law, you waive any right to bring or participate in a class action, collective action, or representative proceeding against ASR Innovations. All claims must be brought individually.

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by:

1. 1.Posting the revised Terms on this page with an updated "Effective Date"
2. 2.Sending an email notification to registered users for significant changes
3. 3.Displaying a prominent banner or in-product notice

Your continued use of our services after the updated Terms take effect constitutes your acceptance of those changes. If you disagree with the revised Terms, you must discontinue use of our services. Previous versions of these Terms are available upon written request.
